1. Acceptance of Terms

By accessing or using Newlyr ("the Service") at newlyr.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Newlyr is an AI-powered vocal replacement tool that allows users to separate vocals from music, select specific words to mute, record replacement vocals, and export a merged audio track. The Service is provided on a subscription basis at ₹79 per month.

3. User Accounts

• You must be at least 18 years old to create an account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must provide accurate information when creating an account
• One account per person. Creating multiple accounts to circumvent limits is prohibited

4. Copyright and Intellectual Property

This is the most important section. Please read carefully.

• You may only upload music that you own, have purchased a licence for, or that is in the public domain
• Uploading copyrighted music without authorisation from the rights holder may constitute copyright infringement under the Copyright Act, 1957 (India) and applicable international treaties
• Newlyr is a tool, not a licence. Using Newlyr does not grant you any rights to the underlying music
• You retain full ownership of your own voice recordings made within the Service
• Newlyr does not claim ownership over any content you upload or create
• We will respond to valid copyright takedown notices under the Information Technology Act, 2000

5. Prohibited Uses

You may not use Newlyr to:

• Infringe any copyright, trademark, or other intellectual property rights
• Upload content that is defamatory, obscene, or otherwise unlawful
• Attempt to bypass rate limits, security measures, or access controls
• Use the Service to create content that harasses, threatens, or harms others
• Reverse engineer, decompile, or attempt to extract source code
• Resell or sublicence access to the Service
• Use automated scripts or bots to access the Service
• Upload audio containing the voices of others without their consent
• Create deepfake audio designed to impersonate or deceive

6. Subscription and Payments

• The Service is billed at ₹79 per month, charged in advance
• Payments are processed by Razorpay. By subscribing, you agree to Razorpay's terms
• Subscriptions renew automatically each month unless cancelled
• You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period
• We do not offer refunds for partial months unless required by applicable law
• We reserve the right to change pricing with 30 days' notice

7. Limitation of Liability

To the maximum extent permitted by law:

• Newlyr is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability to you for any claim is limited to the amount you paid us in the 3 months preceding the claim
• We are not responsible for copyright infringement committed by users
• We are not liable for any loss of data, including audio files or recordings

8. Indemnification

You agree to indemnify and hold Newlyr harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights including copyright.

9. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, with or without notice. You may terminate your account at any time by contacting us at rishabhsapra13@gmail.com.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
